1. Introduction

These Terms of Use ("Terms") govern your access to and use of Weave's application and services ("Service"), operated by Luminous Design LTD ("Weave," "we," "us," or "our"), registered at 13-15 Morningside Drive, Edinburgh EH10 5LZ, United Kingdom.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Effective Date

These Terms are effective as of May 21, 2025.

3. Account Registration and Security

You must be at least 18 years old to use the Service
You must register with accurate, complete information and keep this information updated
You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account
You must immediately notify us of any unauthorized use of your account

4. Service Description

Weave provides relationship management tools that analyze communication patterns from your connected Google services to help maintain and improve personal and professional relationships.

5. Google Account Integration

Our Service requires connection to your Google account to access Gmail, Google Calendar, and Contacts
You represent that you have the authority to grant us access to your Google account data
We access your Google account in accordance with our Privacy Policy and Google's API Services User Data Policy

6. User Responsibilities and Prohibited Activities

You agree not to:

Use the Service in any way that violates applicable laws or regulations
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or servers connected to the Service
Use the Service to transmit any viruses, malware, or other malicious code
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use the Service for any illegal or unauthorized purpose
Circumvent, disable, or otherwise interfere with security-related features of the Service

7. Intellectual Property Rights

All content, features, and functionality of the Service are owned by Weave and are protected by copyright, trademark, and other intellectual property laws
You may not modify, reproduce, distribute, create derivative works from, or publicly display any content from our Service without our prior written consent

8. User Content

You retain ownership of content you create or provide through the Service
By submitting content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and improving the Service

9. Subscription and Payment

We currently offer free access during our beta period
When paid subscriptions are introduced, they will be governed by additional terms which will be provided prior to implementation
We reserve the right to change our pricing models with appropriate notice

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

IN NO EVENT SHALL WEAVE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
ANY CONTENT OBTAINED FROM THE SERVICE
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

12. Indemnification

You agree to defend, indemnify, and hold harmless Weave and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason
Upon termination, your right to use the Service will immediately cease
All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes through the Service or by sending an email to the address associated with your account. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

16. Dispute Resolution

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Edinburgh, United Kingdom, using the English language in accordance with the Arbitration Rules and Procedures of the United Kingdom.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and Weave regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
